Company Liquidation in Romania for an SRL You No Longer Need

Updated 23 October 2026

We prepare the closing file, route by route. We coordinate the lawyer, the trade register filing and the company's accountant.

  • Art. 235: one decision dissolves and liquidates an SRL
  • Ordinary liquidation: at most one year, up to three extensions
  • ANAF tax certificate: 3 working days
  • Decision drafted by a Bar-registered lawyer

Closing an SRL is a file: the decision, the final accounts, the tax proof and the strike-off certificate.

Closing a Romanian SRL you no longer need

This page is for a member or sole member of an SRL who no longer needs the company. Dizolvare (dissolution) ends its business life and lichidare (liquidation) winds it up. Radiere (strike-off) removes it from the trade register. A Bar-registered lawyer drafts the acts. The company, its CECCAR accountant or a lawyer deals with ANAF. We prepare the file.

Selling is the other exit. A sale carries the ANAF notification on every share transfer, due within 15 days. Since OUG 13/2026, art. I, published on 9 March 2026, it covers the shares of any SRL member. Want another company already on the register? See the detailed ready-made companies page.

What's included

We prepare and coordinate. The reserved acts have named executors.

Eligibility check of the closing file

We check that liabilities are paid or settled with the creditors. We check that accounts and returns are filed. We check that the members agree on how to divide what is left. Where needed, the tax certificates are requested.

The document list and the order of steps

A file in Romanian, signed by hand or with a qualified electronic signature. Every foreign official document comes with a legalised Romanian translation.

The lawyer's step coordinated

A Bar-registered lawyer drafts the decision, the liquidation acts and any power of attorney (Law 51/1995, art. 3(1)(c) and 3(2)).

The ONRC filing and the publications followed

The legal representative, an attorney under a notarised power of attorney or a lawyer files. The decision goes to Part IV of the Official Journal. The registrar's rulings go to the BERC.

The tax side prepared for the company

We list the final returns and the liquidation income tax due, and prepare the file. The company, its CECCAR accountant or a lawyer files and pays at ANAF.

The strike-off file and what follows

The application goes in with the tax proof. Then ONRC issues the certificat de radiere (strike-off certificate). The assets pass to the members. The registers are kept for 5 years.

Three routes to closing an SRL, and two alternatives

Three ways to close an SRL and two ways to keep it: conditions, not a recommendation.

Route A under art. 235 Law 31/1990; register terms from Law 265/2022, 2022 text.
  1. Check the file

Debts are paid or settled, accounts and returns filed, and the members agree. Where needed, the tax certificate (3 working days) and the local-tax certificate (at most two working days) are requested.

  2. The members decide

They decide on dissolution and on how to liquidate, by the majority needed to amend the articles. They divide what is left by unanimous vote. A Bar-registered lawyer drafts.

  3. File at ONRC

The filing is due within 15 days of the act, the general term for changes. The registrar decides within one working day. You have up to 15 calendar days to cure gaps (Law 265/2022, art. 43, 105, 106).

  4. Publication in Part IV

ONRC sends the decision within 3 working days of registration. The company pays 152 lei per manuscript page, VAT included, in 2026.

  5. Thirty days

The dissolution binds third parties only 30 days after publication (Law 31/1990, art. 234). On a reading of art. 62(1), creditors may oppose within those 30 days.

  6. Final accounts and tax

Returns and taxes are due up to the final balance sheet. The company withholds the liquidation income tax and pays it by the final filing.

  7. The strike-off application

The legal representative or a lawyer files it, with proof that the liquidation tax was paid. The texts we read set no separate term here.

  8. Ruling, BERC, certificate

The registrar rules, and the BERC publishes within 3 working days of registration. ONRC issues the strike-off certificate, and the members own what is left.

Problems we solve

Five situations that come up.

A dissolution letter reaches a dormant company

After one year as a company declared inactive by ANAF, it is dissolved (Law 239/2025, art. VIII). With no arrears, it is struck off after 20 days unless someone asks for a liquidator. With arrears, ONRC names one. We read its register file.

A member lives abroad

A foreign official document needs an apostille or superlegalisation, unless a treaty or EU rule removes this step. It always needs a legalised Romanian translation. The strike-off file carries proof of the non-resident tax.

Whether closing ends the debts

Liquidation does not release the members. Tax debts are cancelled after the strike-off, unless others have been made liable (Fiscal Procedure Code, art. 266(4)). A member who abuses limited liability in fraud of creditors answers without limit.

A liquidation that turns out insolvent

Route A needs the liabilities paid or settled. If a liquidator's report shows the conditions, the liquidator applies for simplified insolvency within 15 days. Insolvency itself is outside this service.

Filings still open when the decision is taken

Returns stay due up to the final balance sheet. Interest and penalties stop once the dissolution is registered. Every act says "in liquidation". The books stay with the company's staff or a CECCAR member.

Shelves of old bound volumes with worn leather spines in a bookcase
A closed company's registers are kept for 5 years after the liquidation (art. 261(3) Law 31/1990).

Did a dissolution letter reach a dormant company?

Send the company's name and the letter. We will check its register file against the Law 239/2025 terms.

Frequently asked questions

Can the state close my company without me?

Yes. A court can dissolve it under art. 237 at the request of any interested person or ONRC. The registrar can where activity ceased or a suspension lapsed. Since Law 239/2025, ONRC dissolves a company inactive for one year. It strikes it off after 20 days if nobody asks for a liquidator. If there are arrears, it names one.

What happens to unpaid debts after the strike-off?

Tax debts of a struck-off company are cancelled unless other persons have been made liable (art. 266(4) Fiscal Procedure Code). Liquidation does not release the members. A member who abused limited liability in fraud of creditors answers without limit. Those who hid assets in bad faith answer jointly for tax debt.

Who gets paid first when a company liquidates?

The creditors. The liquidators may pay the members nothing on account of the liquidation before the creditors are paid (art. 256(1) Law 31/1990). In the simultaneous route of art. 235, the liabilities must be paid or settled with the creditors before the members decide. Only then can they close that way.

What tax does a shareholder pay on what is left?

A Romanian-resident individual pays 10%, final. The company withholds and pays it by the final filing (art. 97(5) Fiscal Code). A liquidation distribution is not a dividend, which is taxed at 16% from 2026. The Code measures the income against both the capital contribution and the shares' tax value. For a bought stake, that is a tax consultant's question.

And a foreign shareholder?

Income from the liquidation of a Romanian resident is Romanian-source income. An individual resident in an EU state or a treaty state pays 10%. Any other non-resident, companies included, pays 16%. Both rates apply before any treaty relief (art. 224(4) Fiscal Code). The strike-off file proves the tax was paid. Applying a treaty to a case is tax advice.

What does the state charge?

Official Journal Part IV charges 152 lei per manuscript page, VAT included, in 2026. BERC publication is free. An ONRC-named liquidator's fixed fee is 1,500 lei after a court dissolution. For an inactive company with arrears, it is 1,000 lei plus 10% of sums recovered, if they exceed 2,000 lei. No ONRC fee is given. Our price is on request.

Will RomaniaShelf Solutions act as liquidator or deal with ANAF for us?

No. A natural-person liquidator must be an authorised liquidator. A Bar-registered lawyer drafts the decision and the acts. The company, its CECCAR accountant or a lawyer deals with ANAF. That is because assistance before the tax bodies is tax consultancy (OG 71/2001). We check eligibility and prepare the file. We coordinate the people who act.

When is a liquidator needed?

Not in the simultaneous route of art. 235, if the liabilities are paid or settled. There, the members decide the dissolution and how to liquidate, by the majority needed to amend the articles. They divide what is left by unanimous vote. Without unanimity, the ordinary liquidation follows. All the members or the court appoint the liquidators.

How long does an ordinary liquidation take?

At most one year from the dissolution entry, which ONRC may extend up to three times by one year (art. 260(1) Law 31/1990). The liquidators are named within 60 days of the entry and report within 60 days of appointment. The law sets no shorter term, and we promise no duration of our own.

Do I need an ANAF tax certificate to strike the company off?

ANAF issues the certificate within 3 working days, usable for 30 days. A company under audit that asks to be struck off gets it within 5 working days of the audit decision (art. 158 Fiscal Procedure Code). The texts we read do not make it a step of the strike-off, so we treat it as a check.

Can the members change their minds after the decision?

Yes, within a limit. The members may revoke the dissolution until any assets are distributed. They need the same majority as to amend the constitutive act (art. 231(1) Law 31/1990). The text ties the right to that moment. Once assets have been distributed, the revocation it describes no longer applies.

Can I sign and file from abroad?

Yes. The legal representative, an attorney under a notarised power of attorney or a lawyer files at ONRC. The application is in Romanian, signed by hand or by qualified electronic signature. A foreign official document needs an apostille or superlegalisation unless a treaty or EU rule removes it, always with a legalised Romanian translation (art. 76 Law 265/2022, 2022 text).

Is selling the company an alternative to closing it?

A transfer to an outsider needs members holding at least three quarters of the capital, unless the articles say otherwise. No notary is needed. Filing and ANAF notification are each due within 15 days. Since OUG 13/2026, the notification covers any member's shares. A sale binds third parties from the ONRC entry; an art. 235 dissolution, 30 days after publication.

Closing a Romanian company?

Price on request. The lawyer's, the liquidator's and the accountant's steps are named as theirs. We prepare the file around them.
