Share Transfer in Romania, the ANAF Notice and the ONRC Entry
Updated 23 October 2026
From the signed deed to the trade-register entry: who acts at each step, and which details still rest on a draft.
- 15-day ANAF notice
- Every SRL share transfer
- No notarised deed
- Effective against third parties from the ONRC entry
The transfer of SRL shares in Romania at a glance
With a cesiune de părți sociale (assignment of SRL shares), the buyer becomes a shareholder towards third parties only from the trade-register entry (Law 31/1990, art. 203(2)). Since OUG 13/2026 (published 9 March 2026), ANAF must be notified of every SRL share transfer within 15 days (Law 239/2025, art. V). See also how buying an existing company works in Romania.
The page is for buyers, sellers and the company itself. The coordinator prepares the file, and a Bar-registered lawyer drafts the acts. The company, the seller or the buyer files at ANAF. The home page sets out what a foreign founder gets with an existing Romanian SRL. A new SRL has its own page: incorporating a new Romanian SRL.

What the transfer file includes
The file is the coordinator's work. Drafting legal acts belongs to a Bar-registered lawyer (Law 51/1995, art. 3). The company, the seller or the buyer makes the ANAF filing. Tax advice belongs to a registered tax consultant. The company's own staff or a CECCAR member keep the books.
- Identification of the buyer and the beneficial owner, before any filing is prepared.
- Checks on the company before signing, including one chosen among shelf companies for sale in Romania.
- A drafting brief for the lawyer who drafts every legal act of the transfer.
- Signing logistics for the deed and the ONRC application.
- The ANAF notification file, prepared for the company, the seller or the buyer to file.
- Guarantee papers, coordinated with the bank or insurer when the certificate shows arrears.
- The ONRC filing, made by the person the law allows to file it.
- The beneficial-owner declaration file and the entry in the register of shareholders.
How a share transfer runs, step by step
Each step carries a tag: law, law (2022 text), or per the draft. We have not yet checked the implementing order published on 12 October 2026, so its details follow the July 2026 draft.

Identify the parties and check the company law
We identify the buyer and the beneficial owner. Then you check the company. ANAF issues the tax certificate in up to 3 working days (Fiscal Procedure Code, art. 158). You also search ANAF's inactive register and the free register data (searching the Romanian company register).
The lawyer drafts the acts law
A Bar-registered lawyer drafts the deed, the shareholders' approving decision, the amending act and the updated constitutive act. The new administrator accepts expressly. No notarised form is required (Law 31/1990, art. 204(2)).
Sign the deed law
Seller and buyer sign the deed the lawyer drafted. Two 15-day clocks follow. Counting both from the deed's date is our cautious reading, not a statutory rule.
Notify ANAF within 15 days law; form per the draft
The company, the seller or the buyer notifies ANAF within 15 days of the transfer (Law 239/2025, art. V(1)(a)). Per the draft of July 2026, the notice uses the Notificare form. We prepare the file; the filing stays theirs.
If there are arrears, post a guarantee law; paying the arrears instead is per the draft
The company or the buyer deposits cash at a State Treasury unit, or posts a bank guarantee letter or a surety insurance policy (Fiscal Procedure Code, art. 211(a)-(b)). ANAF's agreement is shown at ONRC.
File the change at ONRC within 15 days of the act law, 2022 text
The legal representative, a lawyer under mandate or an attorney with a notarised power of attorney files (Law 265/2022, art. 43 and 81). ONRC asks ANAF for the certificate itself. Per the draft, the certificate confirms the notice, so notify ANAF first.
The registrar decides and the transfer is entered law, 2022 text
The registrar decides within one working day of registering the application. From the entry, the buyer is a shareholder towards third parties. The administrators also record the transfer in the register of shareholders.
Meet the two clocks after the entry law
Guaranteed arrears are paid within 60 days of the registration, or ANAF enforces the guarantee (Law 239/2025, art. V(4)). A new beneficial-owner declaration goes to ONRC within 15 days of the change (the beneficial-owner declaration guide).

Documents the buyer produces
The buyer can act from abroad if each document arrives in the form Romanian law asks for. Every filed document is in Romanian.
- An individual buyer: a passport or national ID.
- A corporate buyer: proof of existence and representation, and the decision to buy (practice, not a statutory list).
- Foreign official documents: an apostille or superlegalisation, unless a treaty or EU rule removes it.
- A legalised Romanian translation of each foreign document (Law 265/2022, art. 75 and 76).
- A lawyer's mandate or a notarised power of attorney, if the buyer does not sign the ONRC application in person.
- A qualified electronic signature, if the ONRC application is signed remotely.
- The ID and express acceptance of the administrator the buyer appoints.
- The beneficial owner's identity data, for the declaration the legal representative signs.
- From a non-resident individual seller who claims a treaty: a tax residence certificate, deposited with the company.

Who does what, and the statutory terms
The state charges are the Official Journal tariff and, per the draft, a free ANAF certificate. We print no ONRC fee, because art. 11(7) Law 265/2022 sets a tariff only for information and documents issued. Our own fee is on request.

Problems buyers run into
Five situations recur. Each card gives what the law provides and how the file handles it, with no outcome promised.

The company has tax debts
The company or the buyer posts one of the three guarantee forms. Per the draft, paying the arrears first removes that step. Debts stay with the company; a member answers up to the subscribed capital.
The Trade Register sends the file back
An incomplete file gets up to 15 calendar days for completion. You have 10 calendar days to complain. Per the draft, new arrears bring a single completion deadline. We check the file for completeness before filing.
The documents are abroad
Each foreign document needs its state's form and a legalised Romanian translation. A lawyer under mandate or an attorney with a notarised power can file for a buyer abroad. The ONRC application can be signed with a qualified electronic signature.
The company looks dormant
ANAF's register of inactive taxpayers is public and free. A legal person must also hold a payment account in Romania or at the State Treasury. We check both before signing; see a company declared inactive by ANAF.
The notice is late or missing
The transfer can be relied on against ANAF only on the art. V conditions. The texts we checked set no sanction for a missed notice. Per the draft, though, ONRC's certificate confirms it. The file keeps a calendar of every clock.

Is the company's tax position still unknown?
The plan lists the certificates to request first and the guarantee forms the law names if arrears appear.
After the entry, and the seller's side
What changes once the register shows the new owner. Tax advice comes from a registered tax consultant. The company's own staff or a CECCAR member keep the books.
The CUI stays, the VAT code is not promised
The CUI stays for the company's whole existence (the Romanian company number guide). A shareholder with 50% or more, or the administrator, may have listed offences in the fiscal record. Then ANAF cancels the VAT code of a Romanian company (art. 316(11)(c)(2) Fiscal Code).
The buyer's other holdings
A shareholder with more than 25% may designate only one micro-enterprise (art. 47(1)(h) Fiscal Code). The buyer's other companies can therefore cost this one its micro status. See using a ready-made SRL as the holding of a group.
The seat and the bank account
Both follow the entry as separate steps. A move to a sediu social in Bucharest (registered office) needs a second amendment. A legal person must hold a payment account in Romania or at the State Treasury; see our business bank accounts service.
The seller's tax on the gain
A Romanian-resident individual pays 16% on the annual net gain, for income of 2026 (Law 239/2025, art. XII). The return is due by 25 May of the following year. A non-resident's treaty claim needs a tax residence certificate deposited with the company (the seller's gain on a Romanian company).
A dormant company handed over
An owner handing over a clean dormant SRL follows the same steps, from the certificate to the beneficial-owner declaration. Terms on request: how we take over a clean dormant SRL and how the transfer runs.
Frequently asked questions
What if the company has tax debts?
With arrears, the company or the buyer posts a guarantee: cash at a State Treasury unit, a bank guarantee letter or a surety insurance policy. Per the draft, paying them first removes that step. ANAF's agreement is shown at ONRC. If still unpaid 60 days after registration, ANAF enforces the guarantee. On payment, it releases it (Law 239/2025, art. V).
Do I inherit the company's debts?
As a member, the buyer answers only up to the subscribed capital (Law 31/1990, art. 3(3)). The company's debts stay with the company, which answers with its own assets. The buyer acquires a company that may owe tax. That is why you read the tax certificate before signing.
Does the company keep its CUI and its VAT code after the transfer?
The CUI, yes: it is used for the company's whole existence (Law 265/2022, art. 127(2)). The VAT code is not promised. ANAF cancels it if the administrator, or the majority or sole shareholder (from 50% of the capital), has the listed offences in the fiscal record (art. 316(11)(c)(2) Fiscal Code).
Does every SRL share transfer have to be notified to ANAF?
Yes. OUG 13/2026 was published in Monitorul Oficial no. 181 of 9 March 2026. Since then, the rule of Law 239/2025 art. V covers the transfer of the shares of any SRL member, whatever the stake. The seller, the buyer or the company notifies ANAF within 15 days of the transfer; we prepare the file for them.
Do I need a notary, and who drafts the deed?
No notarised form is required for an SRL share transfer (Law 31/1990, art. 204(2)). A Bar-registered lawyer drafts the deed, the resolutions and the updated constitutive act. Drafting legal acts is reserved to lawyers (Law 51/1995, art. 3). A notary appears for a notarised power of attorney or the legalised translation of a foreign document (Law 265/2022, art. 76(2)).
Can the guarantee be a pledge or a mortgage?
No. Law 239/2025 art. V names only the two forms of art. 211(a) and (b) Fiscal Procedure Code. One is cash deposited at a State Treasury unit. The other is a guarantee letter from a credit institution or a surety insurance policy from an insurer. Other security falls outside the text, and ANAF's agreement is still shown at ONRC.
Can the buyer act from abroad?
Yes, within the forms the law sets. The ONRC application is signed by hand or with a qualified electronic signature. A lawyer under a mandate or an attorney with a notarised power of attorney can file it. Foreign official documents need an apostille or superlegalisation unless a treaty or EU rule removes it, always with a legalised Romanian translation.
How long does the transfer take?
The law gives 15 days to notify ANAF and 15 days to file at ONRC. The registrar has one working day. Per the draft order, ANAF's certificate takes 3 working days. No official source gives an end-to-end figure. Arrears, a guarantee or a completion request add time that no source quantifies.
What does the state charge?
Publication in Part IV of the Official Journal costs 152 lei per manuscript page in 2026, VAT included, at the company's expense. No source fixes how many pages an act runs to. Per the draft order, ANAF's certificate after the notification is free. No ONRC fee figure is given here. Our own fee is on request.
When does the buyer become the owner towards banks, ANAF and other third parties?
From the entry of the transfer in the trade register, not from the signing (Law 31/1990, art. 203(2)). The administrators also record the transfer in the company's register of shareholders. Until the entry, the transfer cannot be relied on against third parties. The ONRC filing is due within 15 days of the act (Law 265/2022, art. 43(1)).
Who has to approve the sale?
For a sale to an outsider, shareholders holding at least three quarters of the capital, unless the articles of association say otherwise (Law 31/1990, art. 202). A transfer between existing shareholders is free. A sole shareholder uses the powers of the general meeting alone and puts the decision in writing at once.
Is the beneficial-owner declaration a separate filing?
Yes. The legal representative files a new declaration at ONRC, not at ONPCSB, within 15 days of the change (Law 129/2019, art. 56). A missing declaration is fined 5,000 to 10,000 lei. The court may dissolve a company that still has none 30 days after the fine. The articles also carry the beneficial-owner data where the law provides.
What is the rate of capital gains tax in Romania on SRL shares?
A Romanian-resident individual pays 16% on the annual net gain, for income of 2026 (Fiscal Code, as amended by Law 239/2025), through the single return by 25 May of the following year. A non-resident individual's gain is Romanian-source income, and a treaty claim needs a tax residence certificate deposited with the company. This states the rule and computes no case.
