Registered Office in Bucharest for Your Romanian Company
Updated 23 October 2026
A Bucharest seat backed by a written deed of use. We prepare the register and ANAF side and handle the official mail.
- For companies that have just changed hands
- Statutory term: seat change filed within 15 days of the act (2022 text)
- Official mail collected and forwarded
- Resolution drafted by a Bar-registered lawyer
A registered office is an address with a deed behind it, and an end date.
A registered office for a company that has just changed hands
A sediu social (registered office) is a clause of the company's act constitutiv (articles of association). The trade register asks for proof of it. After the cesiune de părți sociale, the seat is the next document a buyer looks at. The transfer itself is notified to ANAF within 15 days (Law 239/2025, art. V, as widened by OUG 13/2026).
This page is for the buyer or new administrator who keeps the company's seat or moves it to Bucharest. Nothing in the texts cited here makes a share transfer itself a reason to move. What counts is a deed of use that is still valid for the new owners. If you are selling your company in Romania instead, the seat must hold until the handover.

What the service includes
Six parts, each tied to what the register or ANAF asks of a company's seat.
A seat backed by a written deed
A Bucharest address held under a written deed of use between the host and the company. The administrator signs it, and we keep the deed's end date on file.
Proof for the register and for ANAF
We assemble the proof of the declared seat for the filing. We also check the fiscal-domicile side: the seat is the fiscal domicile unless management sits elsewhere.
Official mail, collected and forwarded
ANAF sends its paper acts by registered post to the fiscal domicile (Fiscal Procedure Code, art. 47). We collect the letters and pass them to the administrator.
The seat-change file
A lawyer drafts the resolution and amended articles. The register application is filed under a notarised power of attorney (or a lawyer's mandate). We prepare the ANAF declarations for the company, alongside our post-purchase company changes service.
Identity checks before signing
Providing a seat is a trust and company service provider (TCSP) activity under Law 129/2019, art. 2(l). That is why we identify the client and its beneficial owner first.
A calendar of the deed's end date
We track the end date and prepare the renewal before it. An expired deed starts both the dissolution route and the inactivity route.
How moving the seat works
Each step names who acts. The terms are statutory. Register terms come from the 2022 text of Law 265/2022. Later amendments were not read.

Order, not scale: each term runs from the event it names.
Read the seat deed in the company's file
Check its holder, its end date and whether it survives the sale. Check ANAF's free inactive-taxpayer register too, alongside the certificat de atestare fiscală.
Identity papers for the provider
The provider identifies the company, its administrator and its beneficial owner before signing, as the AML law requires.
Sign the deed of use
The landlord or host and the company sign. For a flat in a block, the administrator adds a declaration that no activity takes place there.
Resolution and amended articles
A Bar-registered lawyer drafts them and the members sign. The beneficial-owner update is often due with them, within 15 days (the beneficial-owner declaration guide).
File with the trade register
File within 15 days of the act. The registrar decides within one working day. An incomplete file gets up to 15 calendar days to be cured (Law 265/2022, art. 43, 84, 105, 106). The 2022 text points to more than one office, so we name none here.
The ANAF side
Changed fiscal data are declared within 15 days (art. 88). Form 050 is needed only where management sits elsewhere; ANAF decides it in 15 working days (art. 32). The company, its CECCAR accountant or a lawyer files. We prepare the file.
Update what prints the seat
Invoices and business documents carry the seat (art. 128 Law 265/2022). Contracts and bank records follow.
Keep the seat alive
Renew the deed before its end date and keep the official mail collected. An ANAF act that nobody picks up still counts as communicated after a public notice.

Is the seat deed behind your company still valid?
Send the company's details and a copy of its seat deed, and we will read who holds it and when it ends.
When the deed of use ends
An expired deed of use opens two routes to the end of the company: one at the register, one at ANAF.
At the trade register
The registrar finds the company liable to dissolution (Law 31/1990, art. 237^2). A list in the bulletin comes at least 15 calendar days ahead. A complaint may be filed within 15 days. Without one, liquidation follows.
At ANAF
An expired seat title is inactivity ground (g). ANAF declares the company inactive 30 days after its notice. One year without reactivation means dissolution (Fiscal Procedure Code, art. 92). See how a dormant Romanian SRL ends up inactive.
When the premises change hands
Letter (a) of art. 237^2 also covers a transfer of the right of use or of ownership of the premises, for example a sale.
Other seat failures
Any other failure of the seat conditions, outside letter (a), is a ground for dissolution by the court (art. 237 Law 31/1990). Any interested person or ONRC can ask the court for it.

Romanian requirements for the seat
The statute asks for "proof of the declared seat". It lists no documents or minimum term (art. 36(2)(c) Law 31/1990). If an amending act is published in Part IV of the Official Journal, a tariff applies. In 2026 it is 152 lei per manuscript page, VAT included (Official Journal tariffs 2026). The Minister of Justice sets ONRC's tariff for information and documents issued, by order (art. 11(7) Law 265/2022). This page gives no ONRC figure for a seat change.
| Way to hold the seat | Deed behind it | What the sources set | Not set by the texts cited |
|---|---|---|---|
| Own premises | ownership title | proof of the declared seat; a transfer of ownership of the premises is a dissolution ground | the accepted documents and a minimum term |
| Lease | lease between landlord and company | expiry of the deed is a dissolution ground; rent paid to a private owner: the company withholds 10% of the net rent (gross less a flat 20%), final, paid by the 25th of the next month | the accepted form and a minimum term |
| Hosting contract | a provider's contract | the provider is a trust and company service provider; the same expiry ground applies | the accepted form and a minimum term; whether Annex 6 treats a short paid contract like a comodat |

Documents you will need
A buyer abroad can prepare everything without travelling, if each foreign document arrives in the required form.
- A passport, for the provider's identification of the administrator.
- For a corporate buyer, the beneficial-owner chain and its registry extract.
- A notarised power of attorney (or a lawyer's mandate), if the administrator does not sign in person.
- An apostille or superlegalisation unless a treaty or EU rule removes it.
- A legalised Romanian translation of every foreign official document (art. 76 Law 265/2022).
- The company's current seat deed, showing its end date.
- The landlord's or host's title to the premises, if the provider asks for it.
- Owners' association approval, if Law 196/2018 requires it for the activity in a flat.
- The administrator's no-activity declaration, where none will take place there.
- The resolution and amended articles, drafted by a Bar-registered lawyer.
Problems we solve
Five situations recur around the seat of a company that changes hands.
A deed that lapses unseen after the sale
A seat deed tied to the seller can end or be withdrawn after the transfer. We read it in the file and calendar its end date. We run the same check on each company in our ready-made companies overview.
Official mail nobody collects
ANAF sends paper acts to the fiscal domicile by registered post. If nobody receives one, ANAF posts a public notice. The act then counts as communicated 15 days later (Fiscal Procedure Code, art. 47).
A seat that meets a VAT risk criterion
Annex 6 to the VAT norms lists a comodat of one year or less and a lawyer's seat, each without secondary premises. It also lists a non-resident foreign administrator with capital under 45,000 lei. The Annex does not say how these criteria combine.
A flat rented from a private owner
The company withholds 10% of the net rent as a final tax. The net rent is the gross rent less a flat 20%. The tax is paid by the 25th of the next month (Fiscal Code, art. 84^1). The company's CECCAR accountant computes it.
A file returned as incomplete
The registrar gives at most 15 calendar days to cure an incomplete file (2022 text). We assemble the proof of seat and any flat declaration before filing.

Want the seat deed read before the transfer is signed?
Send a copy of the seat deed before signing. We will read who holds it, when it ends and whether it survives the sale.
Frequently asked questions
Can a Romanian company have a "virtual office" in Bucharest?
"Virtual office" is a market term, not a legal one. The law speaks of a seat backed by a right of use. An address used only for the company's own office work needs no operating-conditions declaration (Law 265/2022, art. 122(2), 2022 text). ANAF also sends its paper acts to this address, so mail handling matters.
How long does a seat change take?
We promise no overall time. By statute, you file within 15 days of the act. The registrar decides within one working day of registering the application. An incomplete file gets up to 15 calendar days to be cured (all Law 265/2022, 2022 text). ANAF decides a separate fiscal-domicile request in 15 working days.
What does ONRC need as proof of a registered office?
The law asks for "proof of the declared seat". It lists no documents or minimum term (art. 36(2)(c) Law 31/1990). You file at the counter, by post or electronically. The 2022 text of Law 265/2022 names the seat's territory (art. 84(1)). As printed, it also allows any office, so we name none. No official document list is given.
What happens if the registered-office contract expires?
The registrar finds the company liable to dissolution. On its own motion, it acts after a bulletin list of at least 15 calendar days. On an interested person's request, it acts within 3 working days. With no complaint within 15 days, dissolution is entered, then liquidation (art. 237^2 Law 31/1990). Transferring the right of use or ownership counts the same.
What does ANAF do when the seat deed expires?
An expired seat title is ground (g) for declaring the company inactive. ANAF applies it only 30 days after its notice. A company not reactivated within one year is dissolved (art. 92 Fiscal Procedure Code). Reactivation on that ground needs the cause removed, in practice with a valid deed. The inactive-taxpayer guide covers what inactive status costs.
How does a comodat of one year or less figure in the VAT criteria?
Annex 6 to the VAT norms names two seats as high-risk criteria, each where the company has no secondary premises. One is a comodat (free loan for use) of one year or less. The other is a lawyer's professional seat. The Annex does not say how the criteria combine, so we give no verdict on any one arrangement.
Can I use my own flat in Bucharest as the registered office?
Yes, if the administrator declares on their own responsibility that no activity takes place there. The owners' association approval is then not needed (art. 17(6) Law 31/1990). Where activity does take place, Law 196/2018 governs; no rule is stated here. A company renting the flat from a private owner withholds 10% of the net rent (art. 84^1 Fiscal Code).
What if an ANAF letter arrives and nobody collects it?
ANAF sends paper acts to the fiscal domicile by registered post with acknowledgement of receipt. If nobody receives one, ANAF posts a public notice. The act counts as communicated 15 days after posting (art. 47 Fiscal Procedure Code). A deadline can start before the company sees the letter. That is why we collect the mail.
Who is allowed to provide a registered office?
Anyone who provides a seat as a service is a trust and company service provider under Law 129/2019. It notifies ONPCSB within 15 days of starting (art. 30^2). It identifies the client and its beneficial owner before the relationship starts. A Bar-registered lawyer may also host a company's seat temporarily at the professional seat (art. 3(1)(h) Law 51/1995).
What does the state charge for a seat change?
If the amending act is published in Part IV of the Official Journal, the 2026 tariff is 152 lei per manuscript page, VAT included. The Minister of Justice sets ONRC's tariff for information and documents issued, by order (art. 11(7) Law 265/2022). We quote no ONRC figure for a seat change. Our price is on request.
We just bought the company: must the seat move?
Nothing in the texts cited here makes a share transfer itself a reason to move the seat. What matters is a deed of use still valid for the new owners. Its expiry, or a transfer of the premises, is the dissolution ground. A seat change is filed within 15 days of the act (Law 265/2022, 2022 text).
Is the fiscal domicile the same as the registered office?
For a company, the fiscal domicile is the registered office. Where the administrative management and effective running of the business are elsewhere, it is that place (art. 31(1)(c) Fiscal Procedure Code). A separate domicile is requested on form 050 only where it differs. ANAF may also register or change it of its own motion.
Can several companies share one address?
The old limits on several companies at one address have been repealed (art. 17(3) and 17(4) of Law 31/1990). None of the current texts cited here sets a new limit. None states that there is no limit either. This page therefore gives no number either way.
Can I sign the documents from abroad?
Yes. An attorney can sign the application under an authentic power of attorney. A lawyer can sign it under a lawyer's mandate. A foreign official document needs an apostille or superlegalisation, unless a treaty or EU rule removes the formality. It always needs a legalised Romanian translation (art. 76 Law 265/2022, 2022 text).
Need a registered office in Bucharest for your company?
Price on request. The lawyer's drafting and the ANAF filings are other professionals' steps, and we name them as such. We prepare the file around them.
