The ready-made catalogue of SRLs (societăți cu răspundere limitată, limited liability companies) and the aged shelves. The share transfer, from the signed deed to the entry at the trade register (ONRC), and the checks a buyer runs before paying. The changes after the purchase, and the registered office and the bank account of a transferred company. The companies we take over, and dissolution and strike-off.

Mircea Pavel leads the transfer work at RomaniaShelf Solutions in Bucharest. He graduated from the Bucharest University of Economic Studies in 2013. He then joined the corporate-services team of an international advisory firm. After that he spent several years on company secretarial work for foreign-owned SRLs: board minutes, register extracts, changes of administrator and seat. Today he is responsible for the companies in the catalogue. He keeps each company's filings, address and bank account current until a buyer takes it over.

On a purchase he collects the documents a buyer checks first and prepares the file the parties sign. He coordinates the Bar-registered lawyer who drafts the transfer deed and the resolutions. He follows the filing at the trade register. When an owner wants to hand over or close a dormant company, he assembles that file too. He works in Romanian, English and Italian.

Covers
The VAT number and rates, the tax identification number, and profit tax and the micro-enterprise regime. Dividends and withholding tax, and the tax on a gain from selling shares. E-invoicing and SAF-T reporting, and annual accounts (explained, never prepared). Inactive-taxpayer status, and the tax certificate from the tax authority (ANAF).

Simona Tudor covers tax and compliance at RomaniaShelf Solutions. She graduated from the Faculty of Economics and Business Administration of Babeș-Bolyai University in Cluj-Napoca in 2015. She began on a compliance desk serving foreign-owned companies and moved to Bucharest in 2019. Her work starts with the buyer's questions. Is the company registered for VAT, and does it appear in an ANAF register it should not? Which returns and accounts has it filed, and what changes for the new owner?

She reads the tax certificate and the public registers with the buyer. She keeps the catalogue companies' filing calendar in view and explains the rules in plain English. The company, or its accountant or lawyer, makes the filings before ANAF. Tax advice comes from a registered consultant. She says so and routes the question. She works in Romanian, English and German.

A new SRL when no shelf fits, and the application for a crypto-asset service provider (CASP) authorisation on a Romanian SRL. Trade marks at the Romanian office (OSIM) and the EU office (EUIPO). The business visa and residence routes, and the digital nomad visa. Hiring a non-EU employee, doing business as a foreigner, and the cost of setting up.

Lucian Dragomir leads the work on new companies, licences and residence at RomaniaShelf Solutions. He graduated from the Faculty of Economics and Business Administration of the West University of Timișoara in 2016. He started on an incorporation desk serving foreign founders and moved to Bucharest in 2020. When no company in the catalogue fits, he prepares the file for a new SRL.

When an owner needs more than the company, he maps the route. The route may cover the documents for a CASP application and a trade-mark filing with an industrial-property attorney. It may also cover the visa and residence steps an owner or a hired employee follows. He keeps the file complete and the dates in view. He names the professional or the authority that decides each step. He works in Romanian, English and French.
