Terms of Service

These terms cover this website, your enquiries and the coordination services of RomaniaShelf Solutions. For refunds, go straight to Refunds and cancellations.

Who we are and what these terms cover

This website is run by RomaniaShelf Solutions, Strada Panduri 89, Bucharest 030175, Romania. In these terms, "we" means RomaniaShelf Solutions. These terms apply when you use the website, send us an enquiry or pay an invoice on it.

These terms cover the website and its enquiry and request forms. They also cover our catalogue of ready-made Romanian companies (societăți cu răspundere limitată, SRL), the coordination services on our service pages and the payment page. The Privacy Policy covers personal data.

What we do and what we do not do

The website describes the law and the procedure for a buyer of an existing Romanian company. It does not advise on your case. The lists below set out what we do and what we leave to others.

We do

  • Keep a catalogue of ready-made Romanian SRLs and state what each listing shows.
  • Assemble the share-transfer file and prepare the documents for each step.
  • Coordinate the buyer's pre-purchase checks, such as the tax certificates and the trade-register (ONRC) extract.
  • Prepare the filings that follow a purchase for signature.
  • File at the trade register under your notarised power of attorney or a lawyer's mandate.
  • Provide a registered-office address in Bucharest.
  • Introduce you to a bank for a business account; the bank decides.
  • Prepare the file for a new SRL or a CASP authorisation application.
  • Take over dormant SRLs from their owners, on terms given on request.

We do not

  • Give legal advice or tax advice.
  • Represent anyone before ANAF, the tax authority, or file with it in their place.
  • Keep books, run payroll, prepare tax returns or audit accounts.
  • Act as, or supply, an administrator or shareholder for any company.
  • Sell a CASP (crypto-asset service provider) licence with a company.
  • Give anyone a right to reside; a ready-made SRL carries none by itself.

Who carries out the reserved steps

A Bar-registered lawyer, named here by profession only, drafts the share-transfer deed, the amended constitutive act and the members' resolutions (art. 3(1)(c) and 3(2) Law 51/1995, version of 6 July 2026). No notary is needed for the transfer of the shares of an SRL (art. 204(2) Law 31/1990, text of January 2024).

The company, the seller or the buyer makes every ANAF filing, the notification of a share transfer included. A CECCAR accountant (expert contabil or contabil autorizat) or a lawyer may act for them and make the filing. We prepare the file and coordinate. We do not file with ANAF or represent anyone before it.

Filings at the trade register are made under a notarised power of attorney that you sign, or a lawyer's mandate (art. 36(1) Law 31/1990). The books of a company are kept by its own accounting staff or under a contract with a CECCAR member (art. 10(2)-(3) Law 82/1991). We keep no books.

Ready-made companies: availability and what a listing states

A listing in the catalogue states a company's attributes as they stood on the day the listing was published. Availability changes: a company may no longer be available by the time you ask about it. Prices in the catalogue are in euro and are the only prices shown for a company.

Between that day and your purchase, a company's VAT status, bank account, tax arrears or standing as an active taxpayer can change. We never promise that a VAT code survives a share transfer. No text says that it does. The Fiscal Code lists the grounds on which a VAT code is cancelled (art. 316(11)).

The tax identification code (CUI) stays with the company for as long as it exists (art. 127(2) Law 265/2022, 2022 text). Before you pay, we confirm in writing that the company is still available and that its listed attributes still stand. We also give you its current trade-register extract.

Your responsibilities

  • Give us accurate and complete information and documents.
  • Tell us at once if anything you told us changes.
  • Provide the identity and beneficial-owner details that every filing needs.
  • Send the documents for each filing in good time.
  • Check the company yourself before you pay; our checklist helps and does not replace advice.
  • Use the website lawfully: no scraping of the catalogue, no interference with the forms.

Enquiries, quotes and when an engagement is formed

An enquiry or a request is not an order and binds neither side. A request on a catalogue company asks us to discuss that company with you; it is not a purchase.

We give a quote in writing. Work starts only after the terms of the engagement have been agreed in writing.

Prices and payments

Our services are priced on request. The prices in the catalogue and the invoice amount on the payment page are the only prices on this website.

An invoice is issued in euro, or in Swiss francs where it says so. It carries the number you enter on the payment page.

On the payment page you can pay by card, through Stripe, or in crypto-currency, through NOWPayments. Where a route is not open, the page records your payment request. We then reply by email with the next step.

Refunds and cancellations

  1. Write to us

Write to info@shelf-company-romania.com and quote the invoice number. Say which company or service the invoice is for and whether you ask for a cancellation, a refund or both.

  2. We confirm receipt

We confirm that we have your request. We tell you the stage the file has reached, including any filing already made at the trade register or any other step already taken.

  3. We decide

We decide on your request according to the stage the file has reached, and we tell you the decision in writing.

  4. A refund goes back by the same route

Where a refund is due, it goes back by the route the invoice was paid by.

Intellectual property and use of the site

The text, the layout and the catalogue of this website belong to RomaniaShelf Solutions. You may quote a listing if you name RomaniaShelf Solutions as the source.

You may not copy the catalogue in bulk, scrape it or interfere with the forms. Any name or logo of a third party shown here belongs to its owner.

Limitation of liability

Our liability to you is limited to the extent the law allows. Nothing in these terms limits a liability that the law does not allow anyone to limit.

Governing law and disputes

If you have a complaint or a dispute about our services or these terms, write to info@shelf-company-romania.com first. Quote the invoice number if there is one, so that we can look at it.

Changes to these terms and how to reach us

We may change these terms. The version in force is the one on this page on the day of your order or your enquiry. Questions about them go to the office.
